End User License Agreement

1. Acceptance of Terms

By accessing or using the Multiply OS platform ("Service"), operated by Multiply OS LLC ("Company," "we," "us," or "our"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not use the Service.

2. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to sublicense, modify, distribute, sell, or create derivative works of the Service.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with this Agreement. You shall not:

• Use the Service in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to transmit malware, spam, or other harmful content
• Share your account credentials with unauthorized third parties

5. Third-Party Integrations

The Service may integrate with third-party services, including but not limited to Intuit QuickBooks Online. When you connect a third-party service, you authorize us to access and retrieve data from that service on your behalf. Your use of third-party services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

You may disconnect third-party integrations at any time through the Settings page. Upon disconnection, we will cease accessing your third-party data, though previously synced data may be retained in accordance with our Privacy Policy.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Multiply OS LLC. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without prior written consent.

7. Your Data

You retain all rights to the data you enter into or connect through the Service ("Your Data"). You grant us a limited license to use Your Data solely for the purpose of providing the Service to you. We will not sell, share, or use Your Data for purposes unrelated to the Service without your consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MULTIPLY OS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of this Agreement. Upon termination, your right to use the Service will cease immediately. Provisions of this Agreement that by their nature should survive termination shall survive.

11. SMS / Text Messaging Program Terms

These SMS Terms govern the Multiply OS text messaging program (the "Messaging Program"), operated by Multiply OS LLC. By opting in, you agree to these SMS Terms in addition to the rest of this Agreement and our Privacy Policy.

11.1 Program description

Multiply OS uses SMS and MMS text messages to communicate with people who have asked to hear from us. Depending on the consent you have given, messages may include: onboarding help and scheduling; appointment and meeting confirmations and reminders; task and deadline reminders; account, billing, and support notifications; customer care replies; and occasional product news about the Multiply OS platform.

11.2 How you opt in (consent)

We only text you after you give us your express written consent. You provide consent by submitting your mobile number on a Multiply OS web form that displays our messaging disclosures and by ticking the unchecked consent box on that form. Consent to receive text messages is not a condition of purchasing any product or service. You represent that you are the subscriber of, or have authority to use, the mobile number you provide.

11.3 Message frequency

Message frequency varies. The Messaging Program sends recurring messages, and the number you receive depends on how you use the Service.

11.4 Cost

Multiply OS LLC does not charge you for taking part in the Messaging Program. Message and data rates may apply. Any charges are billed by, and payable to, your mobile service provider. Please contact your carrier or check your mobile plan for details.

11.5 How to opt out (STOP)

You can cancel at any time by replying STOP to any message you receive from us. We also honor CANCEL, QUIT, END, OPTOUT, UNSUBSCRIBE, STOPALL, and REVOKE. After you send one of these keywords we will send a single confirmation message and then no further messages will be sent from that program unless you opt in again. You may also opt out by emailing support@multiplyos.com.

11.6 How to get help (HELP)

Reply HELP or INFO to any message for assistance and we will respond with contact information for support. You can also reach us any time at support@multiplyos.com.

11.7 Carriers and delivery

Delivery of messages depends on effective transmission by your mobile carrier and is not guaranteed. Carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, T-Mobile, Verizon Wireless, Boost, U.S. Cellular, MetroPCS, Cricket, and others; carrier support may change without notice, and we are not liable if a carrier does not deliver a message.

11.8 Eligibility and changes to your number

You must be at least 18 years old, or the age of majority where you live, to enroll in the Messaging Program. If you change or deactivate your mobile number, you agree to notify us at support@multiplyos.com so that we do not send messages to someone who did not consent.

11.9 Privacy of your mobile information

We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent are not shared, sold, rented, or transferred to any third party, affiliate, or lead generator for marketing purposes. Information may be shared only with the vendors we use to operate the Messaging Program on our behalf, and only so that those messages can be delivered. See our Privacy Policy for full details.

12. Modifications

We reserve the right to modify this Agreement at any time. We will provide notice of material changes by posting the updated Agreement on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified terms.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
